Microsoft’s AI business powers consumer products such as Copilot, Bing, Edge, and MSN, enabling advertising and monetization at scale. We’re seeking a skilled attorney to join the Corporate External and Legal Affairs (CELA) AI Experiences legal team as a trusted advisor in the role of Principal Corporate Counsel, Microsoft Ads & Monetization. You will partner with product, engineering, sales, marketing, business development, and compliance teams on AI-driven digital advertising, consumer services, and revenue priorities.

You will primarily support sales, operations, go-to-market strategy, and commercial transactions, and help the business navigate advertising, product development, privacy, data use, competition, marketing, and regulatory matters. You will deepen your AI and monetization expertise, strengthen business judgment, and grow as a strategic advisor on a collaborative high-impact legal team.

Responsibilities
  • You will identify and anticipate legal and regulatory risks in the client’s business, technology, and public policy, then develop solutions to mitigate any future risk. You’ll also manage day-to-day interactions and relationships with outside counsel.
  • Draft, review, and negotiate commercial and strategic agreements supporting revenue-generating priorities, go-to-market strategy and product launches.
  • You will advocate for Microsoft’s interests by developing relationships with external legal professionals, customers and partners.
  • You will also participate in legal, work, and industry assouciations, and contribute to external otreach initiatives.
  • You will suggest improvements, identify best practices, and provide continuous feedback to make legal service delivery more efficient; drive operational excellence by enhancing templates, processes, and training; and use AI-enabled tools to provide consistent, scalable, high-impact support. You’ll also propose budget efficiencies and model compliance, privacy, and data-security practices.
  • You will collaborate within and across the Legal and Corporate Affairs work group, using written and verbal communication to organize and simplify issues and ideas.


Qualifications

Required Qualifications

  • J.D. or international equivalent degree and 4+ years of experience as a practicing attorney supporting technology products, consumer online services, or AI offerings, including negotiating commercial transactions.
    • OR equivalent experience.
  • Active license to practice law in a jurisdiction and capable of meeting admission requirements in relevant jurisdiction.

 

Preferred Qualifications

  • 1+ year(s) in-house counsel experience advising sales, go-to-market, product, engineering, or other client-facing teams.
  • Experience with digital advertising/AdTech, monetization, privacy, data use, or regulatory compliance.
  • Ability to manage multiple and varying mission-critical projects in a fast-paced environment.


Legal Counsel IC4 - The typical base pay range for this role across the U.S. is USD $132,200 - $232,800 per year. There is a different range applicable to specific work locations, within the San Francisco Bay area and New York City metropolitan area, and the base pay range for this role in those locations is USD $165,800 - $248,600 per year.
