Requirement:

  • We are looking for a qualified member of the Institute of Company Secretaries of India (ICSI), with a minimum of 5 to 7 years of experience for the position of a Specialist in the Corporate Secretarial team of Accenture India, as part of the of Global Delivery Network [GDN] Legal Group.
  • Reporting will be to the Senior Manager, Legal.

Corporate Secretarial team, within GDN CORE legal (Compliance, Operations, Regulatory and Ethics), ensures compliance with all company law matters, FEMA compliances related to V & As, entity integrations and the like, for Accenture India and all group entities in the country. Internal clients range from HR, Finance, Controllership, Taxation, Recruitment, Real Estate, Workplace, Global Asset Protection (GAP), Marketing and Communication (Marcom), Infrastructure Services, and Government Relations.

Role Description:

This role involves supporting the company law compliance, acquisitions, mergers, other corporate actions and FEMA compliances including, but not limited to the following :

Corporate Secretarial & Governance - Undertake end-to-end compliance with the Companies Act, 2013, Secretarial Standards and allied regulations for multiple private limited companies.

  • Draft and review notices, agendas, board papers, minutes and resolutions for Board Meetings, Committee Meetings and Shareholder Meetings.
  • Maintain statutory registers, records and corporate documentation.
  • Support completion of secretarial audit within prescribed timelines
  • Ensure timely completion of annual, event-based and recurring ROC filings.
  • Research for board advisory matters and governance-related issues.
  • Coordinate with directors, auditors, regulators, law firms and external consultants.
  • Analyze legal and regulatory developments, assess their impact on the organization and create presentations for stakeholder awareness.

Mergers, Acquisitions & Restructuring - Support entity acquisitions, integrations, restructurings, mergers and internal reorganizations.

  • Prepare and review transaction-related corporate approvals and documentation.
  • Assist in execution of share transfers, business transfers, mergers and post-acquisition integration activities.
  • Support strategic projects involving group restructuring and legal entity simplification.

FEMA & RBI Compliance - Manage FEMA compliance requirements arising from foreign investment transactions.

  • Prepare and coordinate RBI filings including FC-GPR, FC-TRS, DI filings and overseas investment compliances, as applicable.
  • Liaise with Authorized Dealer Banks, consultants and regulatory authorities.
  • Assist in assessment, regularization and closure of legacy FEMA/RBI compliance matters.

Others -

  • Support and develop compliance processes, trackers, dashboards and governance frameworks.
  • Support implementation of technology and automation initiatives within the secretarial function.
  • Review work prepared by junior team members and provide technical guidance.
  • Collaborate effectively with cross-functional stakeholders from Controllership, Tax, HR, business, etc.
