Original job description

Content provided by the employer

Amazon is seeking a Corporate Counsel to support its Treasury and Risk Management operations. You will provide day-to-day legal advice on worldwide general treasury matters, including cash management and investments, banking relationships, foreign exchange, and account documentation, and support capital markets transactions, insurance/risk management programs, and Treasury special projects, as needed. Principal duties include reviewing, structuring, drafting, and negotiating complex arrangements and advising on related regulatory implications. You will work directly with Treasury leadership, business legal teams, and outside counsel across a broad range of initiatives spanning multiple jurisdictions.

Key job responsibilities
- Advise on general treasury legal matters including banking agreements, account documentation, master repurchase agreements, FX arrangements, overdraft facilities, letters of credit, custody arrangements, and vendor relationships
- Review, structure, draft, and negotiate complex commercial and financial agreements with global banking counterparties
- Support capital markets transactions (bond offerings, credit facilities, term loans, commercial paper) as needed
- Support Global Risk Management & Claims (GRMC) on insurance programs, claims arrangements, and captive insurance matters as needed
- Support Treasury special projects as needed
- Advise on related state, federal, and non-U.S. regulatory implications
- Resolve issues in existing commercial and banking relationships

A day in the life
You will provide day-to-day legal advice to Amazon's Treasury teams across their full range of operations. A typical day might involve advising on a banking agreement with a global financial institution, reviewing account documents for new international entities, advising on FX documentation, or supporting a capital markets transaction, insurance renewal, or claims management and captive insurance matters. You will navigate complex financial instruments, manage competing priorities, and provide practical legal advice in a fast-paced environment with the augmentation of AI tools.

About the team

Treasury serves as Amazon's central financial hub managing corporate liquidity, funding, capital allocation, and financial infrastructure. GRMC operates as Amazon's risk management organization, managing insurance programs. As these functions span the entire company, you will have the opportunity to advise on a broad range of business initiatives across all of Amazon's businesses.
