Role Overview
Harvey is hiring a Corporate Counsel to play a critical role during a period of rapid growth. You’ll work closely on complex, high-impact corporate matters (including M&A, securities, corporate governance, and entity management) while maintaining the versatility to support the full breadth of corporate legal needs.
This role is ideal for someone who can own and drive work streams, design scalable legal processes from the ground up, and partner cross-functionally to enable business growth.
What You'll Do
Execute on M&A and other strategic transactions, including due diligence, drafting and negotiating definitive agreements, managing post-closing integration matters, and overseeing outside counsel
Support financing activities, stock transfers, equity administration, and corporate governance matters (including investor relations support and board preparation)
Support global expansion efforts, including entity formation, subsidiary maintenance, governance, and compliance (e.g., board meetings, annual reporting, and more)
Manage real estate transactions
Manage insurance matters
Design, implement, and continuously improve scalable legal processes, templates, and playbooks to drive efficiency, consistency, and best practices across corporate and strategic transactions
Act as a trusted business partner to stakeholders across the company, including Finance, People, Operations
What You Have
JD degree and licensed to practice in either California or New York
3-6+ years of legal experience with a strong foundation in corporate law, including deep expertise in the following: M&A, securities and equity matters, corporate governance, and the ability to flex across adjacent corporate matters
Experience supporting fast-growing technology companies, preferably including at least one year in-house
Experience supporting global expansion and multinational corporate structures
Ability to thrive in a fast-paced environment, manage competing priorities, and think creatively and strategically under tight timelines
Team-focused and collaborative working style; willingness to build expertise and solve new challenges in an evolving practice
Exceptional communication skills, with the ability to drive stakeholder alignment, exercise sound judgment and provide solutions-oriented legal advice
Experience with employment matters and later stage company governance is a plus, but not required
Compensation
$168,000 - $252,000 USD
