Key Responsibilities

As Ecosystems Counsel, you will support the GSL teams aligned to Technology Strategic Partnering an Agency Resale including

  • Drafting and negotiating various agreements, including master alliance, teaming, subcontracts, agency resale, licenses, joint development, and various other ecosystem-related documents
  • Advising on agency accounting as well as third party compensation matters (including market development funding, customer investment funds, value-based deals, revenue shares, and referral fee constructs)
  • Coordinating and collaborating with other Legal and Corporate Functions teams to address risks – e.g. tax, controllership, compliance, data privacy, marketing.
  • Enabling the Sales & Delivery Legal team to address issues related to go-to-market activities and third-party compensation, including developing guidance and providing SME support to deal teams
  • Supporting the evaluation of prospective acquisition targets and development and implementation of post-merger integration strategy relating to partnering, third-party compensation and agency resale matters

Knowledge Skills and Experience

  • Minimum [8 yrs.] relevant experience in a corporate or law firm setting, ideally advising on data and AI services
  • Experience with technology services, emerging technologies and offerings.  
  • Broad transactional experience (preferably in tech industry) and sound understanding of provisions relating to intellectual property
  • Track record of developing trusted relationships with business leaders
  • Experience analyzing complex facts and situations to provide risk analysis and mitigation strategies.
