The Depositary Services Team is responsible for delivering trustee and fiduciary services in Hong Kong.  

 

This role will support the Head of Depositary Services in strengthening the depositary service platform and fostering a strong compliance and risk culture across the business. The successful candidate will assist in the development and delivery of specialized training programs for relevant staff in collaboration with Legal, Risk, Compliance and Operations teams. 

 

The incumbent will be responsible for ensuring State Street’s duties as Depositary are performed in accordance with applicable legal documentation (including trust deeds, prospectus and fund constitutive documents), relevant laws and regulations, and requirements of financial regulatory authorities and other applicable governing bodies 

 

Principal Job Duties and Responsibilities 

 

Under the supervision of the Head of Depositary Services, the Depositary Services Officer / Manager is responsible for:  

  • processing fund sponsors’ directions in the course of proper administration of trusts/funds and preparing the necessary documentation (e.g. directors’ / unitholders’ resolutions, formal notifications etc.) for effecting such directions 

  • reviewing trust/fund documentation (e.g. trust deeds, offering documents, investment management agreements, subscription/redemption documents etc.) to ensure documents or instructions are in order and the requisite procedures are correctly followed 

  • ensuring the books and records required to be kept by State Street, in its capacity as trustee/custodian of the client/trust, are properly kept and maintained 

  • reviewing and commenting on amendments to fund constitutive and offering documents 

  • reviewing and managing the preparation of the funds’ financial statements and liaising with the auditors, as needed 

  • working closely with colleagues locally and in other State Street locations to ensure documents are in order and regulatory filings are completed within the prescribed timeframes 

  • perform oversight of trustee/custodian and delegated services generally, including performing daily investment compliance monitoring and regular reviews in relation to the depositary business in accordance with internal policies and procedures and applicable laws and regulations 

  • performing due diligence on service providers (internal/external) and preparing due diligence reports 

  • attending client / internal meetings and preparing appropriate meeting materials / post-meeting minutes, as appropriate 

  • identifying breaches, risks and other matters, and advising clients on the trustee or fiduciary aspects of such matters and/or escalating such matters for rectification or reporting in a timely manner 

  • work closely with and support other Depositary Services Team members and act as backup as and when needed 

  • help establish an appropriate compliance/risk culture in the business units, including in the development of specialized training programs for relevant staff, in conjunction with Legal, Risk, Compliance and Operations and promoting compliance/risk awareness 

  • support business development initiatives and other ad hoc assignments as required 

 

 

Experience / Qualifications 

  • University Graduate, preferably in business/finance or related disciplines 

  • Minimum of 5 years experience in trustee and fiduciary services, preferably in trust operations; previous Regulatory / Paralegal / Company Secretary / Compliance experience in financial services sector (trustee / asset management) could also be considered for this role 

  • Possess a good understanding of the legal, regulatory, compliance and risk requirements associated with a trustee and fiduciary environment  

  • Solid knowledge of investment products (regulated / unregulated) and investments generally 

  • Type 13 Regulated Activities licensed preferred. Candidate without the license will be expected to obtain it 

  • Strong communication, interpersonal, organizational, and time management skills 

  • Strong team player, self-motivated, ability to work effectively and autonomously 

  • Excellent command of both written and spoken in English and Chinese
